    By accessing https://oiiq.net or https://portal.oiiq.net, submitting a request, purchasing products, or engaging our services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use & Service Conditions, as well as our Privacy Policy.

    If you do not agree, you must discontinue use of our website and services.

    Certain services require a separate written agreement, proposal, quotation, or statement of work. In the event of conflict, the signed agreement prevails.

    2. Scope of Services

    OIIQ.NET provides professional services including, but not limited to:

    • IT modernization consulting
    • ERP & CRM implementation (including Odoo)
    • Cloud infrastructure architecture
    • Managed hosting and system administration
    • Cybersecurity configuration
    • Custom application development
    • Hardware and software supply
    • Real estate advisory services (where applicable)

    Specific deliverables, pricing, timelines, and responsibilities are governed by written agreements or accepted quotations.

    SECTION I — WEBSITE & GENERAL TERMS


    3. Website Use

    The content of this website is provided for informational purposes only. We reserve the right to modify content, pricing, or service descriptions without notice.

    Unauthorized use of this website may give rise to a claim for damages.

    4. Intellectual Property

    All website content, branding, logos, graphics, documentation, and materials are the property of OIIQ.NET unless otherwise stated.

    No content may be reproduced, distributed, or reused without prior written consent.

    Custom development deliverables are subject to intellectual property clauses defined in signed service agreements.

    SECTION II — HARDWARE & PRODUCT SALES (INCLUDING DROP-SHIPPING)


    5. Product Orders & Payment Terms

    All hardware and software purchases are subject to the following conditions:

    • Full payment is required prior to procurement unless otherwise agreed in writing.
    • Products are ordered from authorized distributors after payment confirmation.
    • Availability and delivery timelines depend on distributor inventory.

    Orders are considered final once procurement from the distributor has been initiated.

    6. Drop-Shipping Policy

    Certain products may be shipped directly from authorized distributors to the client.

    Clients acknowledge:

    • Shipping timelines depend on distributor processing.
    • Packaging may originate from third-party logistics providers.
    • Tracking information will be provided when available.
    • OIIQ.NET is not responsible for carrier delays beyond reasonable control.

    7. Returns & Cancellations

    Before distributor procurement:

    • Orders may be canceled, subject to administrative or transaction fees.

    After distributor procurement:

    • Orders are non-refundable unless the distributor accepts return.
    • Restocking fees may apply.
    • Custom-configured or special-order items are non-returnable.

    Refurbished products:

    • Sold as described (grade specified).
    • Covered by limited warranty as stated at time of purchase.

    8. Warranty Disclaimer

    Unless explicitly stated in writing:

    • Hardware warranties are provided by the manufacturer.
    • OIIQ.NET does not extend manufacturer warranties.
    • Refurbished products may have limited warranty coverage.

    OIIQ.NET is not liable for manufacturer defects beyond facilitating warranty claims where applicable.

    SECTION III — PROFESSIONAL SERVICES


    9. Hosting & Cloud Services

    Hosting and infrastructure services:

    • Provided on a commercially reasonable, best-effort basis unless defined in a signed SLA.
    • May rely on third-party cloud providers.
    • May require scheduled maintenance.

    Unless explicitly defined in writing:

    • No guaranteed uptime percentage is implied.
    • No service credits apply.
    • Backup responsibility remains with the client unless contracted.

    OIIQ.NET is not liable for data loss due to force majeure, cyberattacks beyond reasonable safeguards, or client-side misconfiguration.

    10. Managed Services & SLA Disclaimer

    Managed services may include monitoring, system updates, and technical support.

    Unless defined in a signed Service Level Agreement:

    • Response times are best-effort during business hours.
    • No uptime guarantee applies.
    • Third-party outages are outside our control.

    Formal SLAs must be documented in writing and signed.

    11. Real Estate Advisory Disclaimer

    Where real estate advisory services are provided:

    • Market conditions fluctuate.
    • No guarantee of investment performance is made.
    • OIIQ.NET does not provide legal or tax advice unless explicitly stated.

    Clients remain solely responsible for investment decisions.

    SECTION IV — LIMITATION OF LIABILITY


    12. Limitation of Liability

    To the fullest extent permitted by law, OIIQ.NET shall not be liable for:

    • Indirect or consequential damages
    • Loss of profits
    • Loss of business opportunities
    • Data loss
    • Business interruption
    • Third-party service failures

    Total liability shall not exceed the amount paid by the client for the specific product or service giving rise to the claim.

    SECTION V — THIRD PARTIES & LEGAL


    13. Third-Party Services

    We may rely on third-party providers for:

    • Cloud hosting
    • Payment processing
    • Hardware distribution
    • Software licensing

    We are not responsible for operational changes, service interruptions, or failures of third-party providers.

    14. Governing Law

    These Terms are governed by the laws of the Province of Québec and applicable federal laws of Canada.

    Disputes shall be submitted to the competent courts of Québec.

    Cross-Border Services

    OIIQ.NET may provide remote services to clients located outside Canada, including the United States. Unless otherwise agreed in writing, all agreements are governed by the laws of the Province of Québec, Canada.

    Clients are responsible for ensuring that the services comply with their local regulatory requirements.

    15. Modifications

    We reserve the right to modify these Terms at any time. Updated versions will be posted with a revised effective date.

    Continued use constitutes acceptance of modifications.
